00 — Definitions

Effective Date: 1 May 2026 Status: Operative for every other document in this framework.

The following defined terms apply across the OZ Ride and OOHAi legal framework. Where any document in this framework uses a capitalised term that is not separately defined in that document, the meaning given in this document governs.


1. Parties and entities

1.1 "OZ Ride" means OZ Ride Pty Ltd (ACN/ABN 52 694 735 487), an Australian proprietary limited company with its registered office at 224 Balcatta Road, Balcatta, Western Australia 6021. OZ Ride operates the rideshare and taxi services described in this framework. OZ Ride is the contracting party for all matters relating to the Rideshare Service, the Taxi Service, the Driver App, the Rider App, and any payment flows between Drivers and Riders.

1.2 "OOHAi Media" means OOHAi Media Pty Ltd in its capacity as trustee for the OOHAi Media Unit Trust. OOHAi Media operates the Advertising Service described in this framework. OOHAi Media is the contracting party for all matters relating to the Advertising Service, advertiser onboarding, ad-content review, audience measurement, advertiser billing, and advertiser-side payouts.

1.3 "OOHA" means OOHA Pty Ltd, the joint-venture parent that owns 50% of OZ Ride. OOHA is the source of the underlying intellectual property used by both OZ Ride and OOHAi Media. References in this framework to "platform technology" or "the Platform" include intellectual property licensed from OOHA.

1.4 "Auzi Cab Services" means Auzi Cab Services, the joint-venture partner that owns the remaining 50% of OZ Ride. References in this framework to OZ Ride do not extend to Auzi Cab Services in its individual capacity.

1.5 "We", "us", "our" means, in any document in this framework, the contracting entity for that document. In the Driver Service Agreement, the Rider Terms of Service, the Payment Terms (so far as they relate to rideshare or taxi), the Acceptable Use Policy, and the Safety and Insurance Disclosure, "we" means OZ Ride. In the Advertiser Terms of Service, the Advertising Content Policy, the Data Processing Addendum, and the Payment Terms (so far as they relate to advertising), "we" means OOHAi Media. The Privacy Policy and the Cookie Policy identify both entities as joint controllers and explain the division of responsibility within the document itself.

1.6 "You", "your" means the User addressed by the document in which the term appears.

2. Users and roles

2.1 "User" means any person who creates an account on, or otherwise interacts with, the Platform. The term includes Drivers, Riders, Advertisers, Advertiser Users, and visitors to the Website.

2.2 "Driver" means an individual who has been approved by OZ Ride to provide the Driver Services using the Driver App. A Driver is at all times an independent contractor and is not an employee, agent, or partner of OZ Ride or OOHAi Media. The Driver Service Agreement governs each Driver's relationship with OZ Ride.

2.3 "Rider" means an individual who has created a Rider Account in the Rider App or via the Phone Booking Service for the purpose of requesting a Trip. A Rider may also include a passenger who is not the requesting account-holder where that passenger has been authorised to take a Trip on the Rider's account.

2.4 "Advertiser" means a legal entity that has executed (electronically or otherwise) the Advertiser Terms of Service and has been admitted to the Advertising Service as a Tenant. Where context requires, "Advertiser" extends to any agency acting on behalf of such an entity under the Agency Agreement set out in clause 8 of the Advertiser Terms of Service.

2.5 "Advertiser User" means any individual who is granted access to the Advertiser's tenant account by the Advertiser, with the role of Owner, Admin, Manager, Analyst, or Viewer as determined in the Advertiser's portal under the Advertiser Terms of Service.

2.6 "Tenant" means an Advertiser's account in the Advertising Service. The Tenant is the unit of identity, billing, content ownership, and audit-log scoping in the Advertising Service. Each Advertiser corresponds to exactly one Tenant. Each Tenant is associated with exactly one Stripe Customer record in OOHAi Media's Stripe account acct_1Sy3Cj3S3OoTufBj.

2.7 "Responsible Officer" means the natural person nominated by an Advertiser, or by OZ Ride for its taxi operations, to hold regulatory accountability under the Transport (Road Passenger Services) Act 2018 (WA) and analogous legislation. The Responsible Officer's National Police Certificate (NPC) currency is tracked by the system in the responsibleOfficers table.

3. Services

3.1 "Platform" means the OZ Ride and OOHAi technology stack as a whole, including: the Driver App, the Rider App, the Advertiser Portal, the Player Tablet software, the Display Service, the Advertising Service microservice, the Phone Booking Service, the Phone Operator AI Agent, the BLE Pairing Protocol, the public Website, and all backend services that support them. The Platform is hosted on Amazon Web Services in the ap-southeast-2 (Sydney) region.

3.2 "Driver Services" means the transport services provided by a Driver to a Rider in either Rideshare mode or Taxi mode using the Driver App, including the carriage of the Rider from a pickup location to a drop-off location and any incidental services that are part of the Trip.

3.3 "Rideshare Service" means the on-demand passenger transport service operated by OZ Ride under its rideshare authorisation, in which Riders request a Trip via the Rider App, the system dispatches a Driver, the fare is calculated by the Fare Engine using a published pricing schedule, and payment is collected automatically through the Stripe payment processor.

3.4 "Taxi Service" means the metered taxi service operated by OZ Ride under its taxi authorisation, in which Trips may be hailed in person, booked via the Phone Booking Service, or accepted from a queue. The fare is determined by the Fare Engine using the WA Department of Transport's regulated taxi fare schedule. Payment may be collected by Stripe Tap-to-Pay, by a Stripe-hosted payment link, or in cash.

3.5 "Trip" means a single instance of Driver Services provided to a Rider, beginning with Trip request (rideshare), Trip acceptance (taxi), or meter start (street hail) and ending when the Trip is marked complete in the system. Each Trip is recorded as a row in either the trips table (rideshare) or the taxi_trips table (taxi), with associated trip_events recording the state-machine transitions.

3.6 "Advertising Service" means the OOHAi Media advertising platform, including: campaign creation and management, creative submission and approval, ad selection on Player Tablets, audience measurement using on-device computer vision, billing and reporting. The Advertising Service is implemented as an isolated microservice (oz-advertising-service) with its own database, authentication system, and Stripe account.

3.7 "Player Tablet" means an Android tablet device deployed in or on a Driver's vehicle by OOHAi Media or OZ Ride for the purpose of displaying advertisements and (where equipped) related on-board safety messaging. Player Tablets are managed under OOHAi Media's enterprise mobile-device-management (MDM) policy.

3.8 "Phone Booking Service" means the inbound telephone service for taxi bookings, operated by OZ Ride and answered by either a human operator or the Phone Operator AI Agent. The service uses Twilio voice infrastructure with ElevenLabs voice synthesis.

3.9 "Phone Operator AI Agent" means the artificial-intelligence assistant ("Alex") operated by OZ Ride to triage inbound calls, take taxi bookings, look up trip information, and route financial decisions to a human operator. The Phone Operator AI Agent is implemented in server/services/PhoneOperatorAgent.ts and is constrained by server/services/FinancialGuard.ts, which prevents it from completing financial transactions without human authorisation.

3.10 "Driver App" means the OZ Driver mobile application installed on a Driver's Android device, used by the Driver to receive Trip requests, navigate to pickup and drop-off locations, operate the Taxi meter, and access earnings information.

3.11 "Rider App" means the OZ Ride mobile application installed on a Rider's Android device, used by the Rider to request Trips, view fare estimates, track driver progress, complete payment, and access Safety Features.

3.12 "Website" means the public marketing website published by OZ Ride at the domain oz-ride.com (and any successor domain), and includes the corporate-attribution page describing OOHAi Media in the role of platform operator.

4. Money

4.1 "Fare" means the total amount payable by a Rider for a Trip, including the Base Fare, distance and time components, any applicable surcharges, the Booking Fee (if applicable), the Platform Fee, and any taxes. The Fare is calculated by the Fare Engine.

4.2 "Fare Engine" means the OZ Ride pricing service implemented in server/services/FareService.ts and (for taxi) server/services/taxiPaymentService.ts. The Fare Engine reads pricing inputs from the platform_fees, rideshare_pricing, and taxi_fare_tables tables and produces an authoritative fare calculation.

4.3 "Platform Fee" means the percentage commission retained by OZ Ride from each Fare in respect of the use of the Platform by the Driver. As at the Effective Date, the Platform Fee is fourteen per cent (14%) of the Fare exclusive of the Booking Fee. The Platform Fee may be varied from time to time in accordance with clause 6 of the Payment Terms.

4.4 "Booking Fee" means a flat fee added to certain Trips to cover regulatory, insurance, technology, and operating costs. The Booking Fee is shown to the Rider on the fare estimate before the Trip is requested. The Booking Fee is retained by OZ Ride in addition to the Platform Fee.

4.5 "Driver Earnings" means the portion of the Fare credited to the Driver after deduction of the Platform Fee and any other amounts properly deducted under the Driver Service Agreement, the Payment Terms, or applicable law. Driver Earnings are paid out to the Driver's Stripe Connect account in accordance with the Payout Schedule.

4.6 "Wallet" means a Driver's, Advertiser's, or Rider's prepaid balance held within the Platform. Driver Wallet balances are held in wallet_transactions (rideshare/taxi). Advertiser Wallet balances are held in walletTransactions in the Advertising Service database. The Platform records every credit and debit to a Wallet in an immutable, double-entry ledger.

4.7 "Stripe" means Stripe Payments Australia Pty Ltd, the third-party payment processor that handles all card payments, account transfers, and (in the Advertising Service) subscription billing on behalf of OZ Ride and OOHAi Media. OZ Ride uses Stripe account acct_1SvWAT3i8v2PT9cy. OOHAi Media uses Stripe account acct_1Sy3Cj3S3OoTufBj.

4.8 "Stripe Connect" means the Stripe sub-product that enables OZ Ride to disburse Driver Earnings to a Driver's individual Stripe Express account. Drivers are required to complete Stripe's onboarding for Connected Accounts before they may receive payouts.

4.9 "Payout Schedule" means OZ Ride's standing instruction to Stripe regarding the frequency of Driver Earnings disbursement. As at the Effective Date, the Payout Schedule is weekly, with funds typically settling in the Driver's nominated bank account 1–2 business days after each weekly cut-off. The Payout Schedule is a configurable parameter and may be varied in accordance with clause 7 of the Payment Terms.

4.10 "PTSS Subsidy" means a subsidy paid by the Western Australian Department of Transport under the Perth Taxi Subsidy Scheme to subsidise eligible passengers' taxi travel. PTSS Subsidies received by OZ Ride for Trips conducted by a Driver are passed through to that Driver's Wallet without commission deduction (a 0% pass-through), in accordance with clause 11 of the Payment Terms.

4.11 "Service Fee" means a fee applicable to certain Taxi Service payment methods (notably, payments processed via Stripe Tap-to-Pay or hosted payment links). The Service Fee is configured separately from the Platform Fee in the platform_fees table under the code SERVICE_FEE.

4.12 "Cancellation Fee" means a fee charged to a Rider where the Rider cancels a Trip after a defined cancellation window. The Cancellation Fee schedule is set out in clause 9 of the Payment Terms.

4.13 "No-Show Fee" means a fee charged to a Rider where the Rider fails to appear at the pickup location within a defined no-show window after the Driver arrives. The No-Show Fee schedule is set out in clause 9 of the Payment Terms.

5. Compliance and identity

5.1 "PTD" means a Passenger Transport Driver authorisation issued under the Transport (Road Passenger Services) Act 2018 (WA). A Driver must hold a current PTD to be approved on the Platform. The system records a Driver's PTD number and validates it against the WA Department of Transport via the DoT API on a continuous basis (server/services/dotApiService.ts).

5.2 "PTV" means a Passenger Transport Vehicle authorisation issued under the Transport (Road Passenger Services) Act 2018 (WA). A vehicle must hold a current PTV to be operated as a Trip vehicle on the Platform. The system records a vehicle's PTV number and validates it against the WA Department of Transport on a continuous basis.

5.3 "ODBS" means On-Demand Booking Service authorisation. As at the Effective Date, OZ Ride holds ODBS authorisation number 1012130, which expires on 21 January 2027.

5.4 "DVID" means Driver and Vehicle Identification Data subscription, the WA Department of Transport notification feed that supplies near-real-time updates to a Driver's PTD or a Vehicle's PTV status. OZ Ride subscribes a Driver/Vehicle to the DVID feed at the moment of approval and unsubscribes at the moment of revocation (server/services/dvidLifecycleService.ts).

5.5 "DVS" means the Australian Government's Document Verification Service, used by OZ Ride during identity verification to confirm the validity of a Driver's identity documents.

5.6 "RapidID" means the third-party identity-verification service used by OZ Ride during onboarding to perform document and biometric matching prior to approval. RapidID is integrated via server/services/rapidIdService.ts.

5.7 "NPC" means a National Police Certificate. Responsible Officers and other personnel where required must hold a current NPC for OZ Ride to maintain its on-demand passenger transport authorisation.

5.8 "Compliance Status" means a Driver's or Vehicle's current state with respect to all required authorisations (PTD, PTV, insurance, ODBS, NPC, DVS consent, identity verification, vehicle inspection). A Driver whose Compliance Status is non-compliant is blocked from going online and from accepting Trips. The Compliance Status is computed by server/services/complianceEnforcementService.ts.

6. Data

6.1 "Personal Information" has the meaning given in section 6 of the Privacy Act 1988 (Cth).

6.2 "Sensitive Information" has the meaning given in section 6 of the Privacy Act 1988 (Cth).

6.3 "Audience Data" means the aggregated, non-identifying observations produced by the on-device computer-vision system on Player Tablets. Audience Data includes counts of estimated viewers, age-bucket distributions, gender-bucket distributions, emotion-bucket distributions, dwell time, gaze time, and computed engagement and attention scores. Audience Data does not include images, video, or biometric templates. Raw imagery is processed entirely on the Player Tablet using TensorFlow Lite models and is discarded immediately after inference; only the aggregated Audience Data is transmitted to OOHAi Media.

6.4 "Location Data" means latitude, longitude, heading, speed, accuracy, and timestamp records collected from a Driver's device while the Driver is online, and from a Rider's device while the Rider has an active Trip request or open Trip.

6.5 "Trip Data" means the structured record of a Trip, including pickup and drop-off coordinates and addresses, route, distance, duration, fare components, payment status, ratings, and any incidents. Trip Data is retained in accordance with clause 12 of the Privacy Policy.

6.6 "Audit Log" means the immutable record of administrative and security-relevant actions written to the audit_logs table (rideshare/taxi) or the analogous audit table in the Advertising Service. Each Audit Log row records the actor, action, target, reason, IP address, and session identifier.

6.7 "DVS Consent Log" means the immutable record of a Driver's consent to identity verification under the DVS Agreement, written to the dvs_consent_logs table.

7. Procedural

7.1 "Effective Date" means 1 May 2026 unless a different date is specified at the head of a particular document.

7.2 "Business Day" means a day other than a Saturday, Sunday, or public holiday in Perth, Western Australia.

7.3 "Notice" means a written notice delivered in accordance with the notice provisions in clause 19 of the Driver Service Agreement, clause 16 of the Rider Terms of Service, or clause 22 of the Advertiser Terms of Service, as applicable.

7.4 "Force Majeure Event" means any event or circumstance beyond the reasonable control of the affected party, including: acts of God, war, terrorism, civil unrest, government action, regulatory change, pandemic, telecommunications outage, cybersecurity incident affecting a third-party service the Platform depends on (including Stripe, Twilio, Amazon Web Services, Mapbox, the WA Department of Transport DoT API, or RapidID), and similar events.

7.5 "Confidential Information" means non-public information disclosed by one party to another in connection with the Platform, marked or otherwise reasonably understood as confidential, but excluding information that is or becomes public through no breach of these documents, was lawfully known to the recipient before disclosure, was independently developed without use of the disclosing party's information, or is required to be disclosed by law or regulator.

7.6 "Intellectual Property" means all rights in or to inventions, patents, copyrights, designs, trade marks, trade secrets, know-how, and confidential information of any kind, whether or not registered or registrable, anywhere in the world.

7.7 "GST" means goods and services tax payable under the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

8. Interpretation

8.1 Singular includes plural and vice versa. 8.2 A reference to a person includes a body corporate, trust, partnership, joint venture, association, government agency, or other entity. 8.3 A reference to legislation includes any subordinate legislation, amendment, or replacement. 8.4 Headings are for convenience only and do not affect interpretation. 8.5 "Includes" and "including" are not words of limitation. 8.6 Where a clause in any document in this framework conflicts with a more specific clause in another document, the more specific clause prevails to the extent of the inconsistency, in the following order of precedence: (a) the document directly addressed to the User type concerned (Driver Service Agreement, Rider Terms of Service, or Advertiser Terms of Service); (b) the Payment Terms; (c) the Privacy Policy; (d) all other documents in this framework. 8.7 Where any document in this framework imposes an obligation on OZ Ride, OOHAi Media, or a User to do something, the obligation extends to a corresponding obligation not to procure or permit a third party to do or omit to do anything that would frustrate the obligation.
