05 — Payment Terms

Effective Date: 1 May 2026 Application: Drivers, Riders, Advertisers, Advertiser Users. Governing law: Western Australia. Defined terms: Capitalised terms not defined in this document have the meaning given in 00 — Definitions.

These Payment Terms describe how money flows through the OZ Ride and OOHAi platforms: how Fares are calculated; what the Platform Fee and Service Fee are and how they are deducted; how Drivers are paid out; how Riders are charged and refunded; how PTSS Subsidies are passed through; how Cancellation Fees and No-Show Fees apply; how disputes are handled; and the GST treatment of each component.

These Payment Terms supplement the Driver Service Agreement, the Rider Terms of Service, and the Advertiser Terms of Service. Where there is a conflict, the audience-specific agreement prevails for that audience.


1. Scope

These Payment Terms cover:

(a) Rideshare Service Fares charged to Riders by OZ Ride; (b) Taxi Service Fares charged to Riders by OZ Ride; (c) Driver Earnings paid by OZ Ride to Drivers; (d) PTSS Subsidies received by OZ Ride and passed through to Drivers; (e) Cancellation Fees and No-Show Fees; (f) Damage and cleaning fees; (g) Advertising Service charges to Advertisers by OOHAi Media; (h) Refunds, chargebacks, and dispute handling.

2. Pricing inputs and the Fare Engine

2.1 Authoritative source. The Fare for any Trip is calculated by the Fare Engine using the pricing inputs in force at the time of fare quote (Rideshare) or meter operation (Taxi). The Fare Engine reads pricing from the platform_fees, rideshare_pricing, and taxi_fare_tables tables.

2.2 Pricing schedule. The current Rideshare pricing schedule and Taxi fare schedule are published in the Rider App and on the Website at web.oz-ride.com/legal/payment-terms. The Taxi fare schedule reflects the WA Department of Transport's regulated taxi fares and is updated whenever the regulated schedule changes.

2.3 Snapshot at quote. Once a Rideshare Trip is quoted to a Rider, the Platform Fee rate, the Booking Fee, the per-kilometre rate, the per-minute rate, the minimum fare, and any applicable surcharges in effect at the time of quote are snapshot to the Trip record. A subsequent change to any pricing input does not affect that Trip.

3. The Platform Fee (Rideshare only)

3.1 Scope. The Platform Fee in this clause 3 applies only to Rideshare Service Fares. Taxi Service Fares are governed by clause 5 (Service Fee) instead — Drivers retain 100% of the metered Taxi Fare and OZ Ride does not deduct a commission from Taxi earnings.

3.2 Rate. The Platform Fee is fourteen per cent (14%) of the Rideshare Fare exclusive of the Booking Fee.

3.3 Application. The Platform Fee is calculated as:

where fare is the total amount payable by the Rider (including time and distance components and any applicable surcharges, but exclusive of the Booking Fee).

3.4 Driver Earnings. Rideshare Driver Earnings are calculated as:

                = (fare − bookingFee) × 0.86

The Driver retains 86% of the Fare exclusive of the Booking Fee.

3.5 Worked example (Rideshare). A Rider takes a Trip with the following calculation:

3.6 Worked example (Taxi, Stripe Tap-to-Pay or hosted link). A Rider pays a metered Taxi Fare of $30.00 by Stripe Tap-to-Pay. The Service Fee under clause 5 applies in addition to the metered Fare. No Platform Fee is deducted from the Driver on Taxi Trips — Drivers retain 100% of the metered Fare.

Note: Taxi Trips have a fundamentally different fee structure from Rideshare. The Platform Fee (14%) described in clauses 3.1–3.4 applies only to Rideshare Service Fares. Taxi metered Fares are regulated by the WA Department of Transport and OZ Ride does not deduct a commission from the Driver. OZ Ride's only revenue from a Taxi Trip is the 5% Service Fee charged to the Rider on non-cash payments. Cash Trips do not attract a Service Fee. The Service Fee rate is configured in platform_fees under code SERVICE_FEE.

3.7 Variations. OZ Ride may vary the Platform Fee from time to time. Any variation will be:

(a) approved by an authorised OZ Ride decision-maker; (b) recorded in the platform_fees table with a future effective_from date; (c) accompanied by an audit-log entry under action platform_config_changed; (d) communicated to Drivers at least fourteen (14) days before the new rate takes effect, by in-app message, push notification, SMS, and email; and (e) communicated on the Website on the page web.oz-ride.com/legal/payment-terms at least fourteen (14) days before the new rate takes effect.

A variation does not affect Trips that were already quoted before the new rate took effect (clause 2.3 snapshot).

4. The Booking Fee

4.1 Purpose. The Booking Fee is a flat fee added to the Rider's total to cover regulatory, insurance, technology, and operating costs of providing the Platform.

4.2 Application. The Booking Fee is:

(a) shown to the Rider on the fare estimate before the Trip is requested; (b) retained by OZ Ride in addition to the Platform Fee; (c) not subject to the Platform Fee (the Platform Fee is calculated on the Fare exclusive of the Booking Fee).

4.3 Amount. The current Booking Fee is shown in the Rider App at the time of fare estimate.

5. The Service Fee (Taxi)

5.1 Purpose. The Service Fee is the additional charge applied to certain Taxi Service payment methods (notably Stripe Tap-to-Pay and Stripe-hosted payment links) to recover payment-processing costs.

5.2 Application. The Service Fee is added to the metered Taxi Fare and is paid by the Rider in addition to the metered Fare. The Service Fee is retained by OZ Ride and is not part of Driver Earnings.

5.3 Cash Trips. The Service Fee does not apply to Taxi Trips paid in cash.

5.4 Configuration. The Service Fee is configured separately in platform_fees under code SERVICE_FEE. The current rate is shown in the Driver App at the time of payment-method selection.

6. Driver payouts

6.1 Stripe Connect. Driver Earnings are credited to the Driver's Stripe Express account as part of the Trip-completion payment flow. Drivers must complete Stripe Connect onboarding before they can receive payouts.

6.2 Payout Schedule. OZ Ride's standing instruction to Stripe is:

  • Cadence: Weekly.
  • Cut-off: End of Sunday, Australian Western Standard Time.
  • Disbursement initiated: Following Tuesday.
  • Bank settlement: Typically 1–2 Business Days after disbursement (depends on the Driver's bank).

6.3 Variation of Payout Schedule. OZ Ride may vary the Payout Schedule from time to time on at least seven (7) days' Notice to Drivers.

6.4 On-demand payouts. Where Stripe supports them and OZ Ride has enabled them, on-demand payouts may be available subject to Stripe's processing limits and OZ Ride's anti-fraud controls.

6.5 Failed payouts. Where a payout fails (for example, due to a closed bank account), Stripe returns the funds and OZ Ride retries on the next regular cycle. Drivers must keep their Stripe-held bank details current.

6.6 Withholding for set-off. OZ Ride may withhold from a payout an amount equal to: (a) any negative Wallet balance; (b) any unrecovered Cancellation Fee or No-Show Fee that the Driver has agreed to refund to a Rider; (c) any chargeback or refund OZ Ride has paid on the Driver's behalf; (d) any amount referable to clause 14 (clawback of incorrect payments). All such set-offs are itemised in the Driver's Wallet statement.

7. Rider charges

7.1 Authorisation hold. When a Rider confirms a Rideshare Trip, OZ Ride may instruct Stripe to place an authorisation hold on the Rider's payment method for the estimated Fare. The hold is released when the Trip is captured, refunded, or cancelled.

7.2 Capture. Stripe captures the actual Fare at the end of the Trip. If the actual Fare exceeds the authorisation hold by more than 10%, OZ Ride may capture an additional charge.

7.3 Receipts. A receipt is issued to the Rider by email and in the Rider App. The receipt itemises:

  • Base fare component;
  • Distance and time components;
  • Surcharges;
  • Booking Fee;
  • Platform Fee (% and amount);
  • GST (where applicable);
  • Total charged.

8. Refunds

8.1 Service issues. Where a Trip is materially deficient (for example, the Driver took a substantially-longer-than-necessary route, the Vehicle was unsafe or unfit for service, the Driver behaved improperly), the Rider may request a refund or fare adjustment within seven (7) days of the Trip by replying to the receipt email or contacting support@oz-ride.com.

8.2 Investigation. OZ Ride will investigate and respond within seven (7) Business Days. OZ Ride may, at its discretion: (a) refund all or part of the Fare; (b) issue a Wallet credit; (c) decline the refund with reasons; or (d) refer the matter for further investigation under the safety procedures.

8.3 Refund mechanics. Approved refunds are processed to the Rider's original payment method via Stripe. Stripe processing time may add 1–10 Business Days to settlement.

8.4 Driver impact. Where OZ Ride refunds a Rider for a service issue caused by the Driver's conduct, the corresponding amount may be debited from the Driver's Driver Earnings or Wallet under clause 6.6 set-off.

8.5 No-fault refunds. OZ Ride may, at its discretion, issue refunds in circumstances where there is no Driver fault (for example, a Platform outage caused a Trip to fail). In that case the Driver Earnings for the Trip are not affected.

8.6 Stripe processing reversals under $20. Where a refund is issued for a small amount and Stripe completes the reversal but the corresponding ledger entry fails, the discrepancy is detected by the daily reconciliation job and remedied. Riders should not experience any difference; the system flag exists for OZ Ride internal accounting only.

9. Cancellation Fees and No-Show Fees

9.1 Cancellation policy (Rideshare).

9.2 No-Show Fee (Rideshare). Where the Driver arrives at the pickup location and the Rider does not appear within 5 minutes (the "no-show window"), the Driver may cancel the Trip and a No-Show Fee of $10.00 may be charged to the Rider.

9.3 Cancellation policy (Taxi). Cancellation Fees and No-Show Fees for Taxi Trips reflect the WA Department of Transport's regulated taxi rules and are detailed in the Driver App at the time of dispatch.

9.4 Driver cancellation. A Cancellation Fee may also apply to a Driver who cancels a confirmed Rideshare Trip after acceptance without good cause. This fee is debited from the Driver's Wallet. Good cause includes safety concerns, breakdown, and other circumstances OZ Ride considers reasonable.

9.5 Discretion. OZ Ride may waive any Cancellation Fee or No-Show Fee where the cancellation arose from circumstances that, on a fair view, do not warrant the fee.

9.6 Driver Earnings on Cancellation Fee. Where a Cancellation Fee is collected from a Rider after the Driver has commenced movement towards pickup or has arrived at pickup, the Driver receives 86% of the Cancellation Fee, calculated identically to clause 3.3.

10. Damage and cleaning fees

10.1 Damage. A Rider who damages a Vehicle (other than fair wear and tear) may be charged a damage fee, supported by photographs and (where appropriate) a workshop quote. The fee structure is:

10.2 Process. The Driver submits a damage report in the Driver App with photographs within 24 hours of the Trip. OZ Ride reviews the report and, where the damage is supported, charges the Rider's payment method on file with prior notice. The Rider may dispute the charge under clause 12.

10.3 Driver compensation. The damage fee, less a small administration fee, is paid to the Driver via Wallet credit and the next regular payout.

11. PTSS Subsidies

11.1 Pass-through. Where a Trip is the subject of a PTSS Subsidy paid by the WA Department of Transport, OZ Ride credits the full subsidy amount to the Driver's Wallet without commission deduction (a 0% pass-through).

11.2 Reconciliation. PTSS Subsidies are recorded as a separate Wallet movement and are itemised on the Driver's weekly statement.

11.3 Stuck claims. Where the WA Department of Transport rejects a PTSS Subsidy claim, OZ Ride does not back-charge the Driver for the rejection; the Driver retains the Driver Earnings paid at Trip completion. OZ Ride bears the risk of subsidy rejection. OZ Ride records the reason for rejection in the Trip's audit log.

11.4 Subsidy overpayment. Where the WA Department of Transport overpays a subsidy claim, the overpayment is treated as held on trust pending instruction from the Department.

12. Disputes about a charge

12.1 Time limits.

  • Riders: dispute a charge within 7 days of the Trip.
  • Drivers: dispute a Driver Earnings calculation, payout, or set-off within 30 days of the relevant event.
  • Advertisers: dispute an invoice or charge within 30 days of the invoice date.

12.2 Procedure. Send the dispute by email to the relevant address (Riders: support@oz-ride.com; Drivers: support@oz-ride.com; Advertisers: advertisers@oohai.com.au) including: the Trip ID or invoice number, a description of the dispute, the resolution sought, and any supporting evidence.

12.3 Acknowledgement and response. OZ Ride or OOHAi Media (as applicable) acknowledges within 5 Business Days and responds substantively within 14 Business Days.

12.4 Outcomes. The matter may be: (a) upheld in full, with a refund or correction; (b) upheld in part; (c) declined with reasons; or (d) referred to mediation under clause 17 of the Driver Service Agreement, clause 13 of the Rider Terms of Service, or clause 16 of the Advertiser Terms of Service.

12.5 Chargebacks. A Rider or Advertiser may instead initiate a chargeback through their card issuer. OZ Ride or OOHAi Media will respond to the chargeback with the records on the Platform. A repeated pattern of chargebacks judged frivolous may result in account suspension.

13. GST

13.1 GST inclusion. Where GST applies, the Fare and other amounts shown on receipts and invoices are GST-inclusive unless expressly stated otherwise.

13.2 Driver GST. Drivers operating as ABN holders are responsible for registering for GST (where their annual turnover crosses the threshold) and remitting GST in respect of Driver Earnings. Where a Driver has provided a current valid ABN and has not opted out of GST registration on the Platform, OZ Ride includes GST in the Fare and provides the Driver with the information necessary for the Driver to remit GST.

13.3 No-ABN withholding. Where a Driver has not provided a valid ABN, OZ Ride is required to withhold tax at the no-ABN withholding rate (currently 47% as set by the ATO) from Driver Earnings and remit it to the ATO on the Driver's behalf. Drivers should provide and keep current a valid ABN to avoid this withholding.

13.4 Advertiser GST. Invoices issued by OOHAi Media to Advertisers identify GST separately. Advertisers GST-registered in Australia are entitled to claim GST credits in accordance with the GST law.

13.5 Tax invoice. Receipts and invoices issued by the Platform are tax invoices for the purposes of the GST law where the relevant statutory requirements are met.

14. Clawback of incorrect payments

14.1 Stripe Connect payment errors. Where a Driver Earnings payout is overstated due to: (a) an underlying Stripe charge that is later refunded or charged back; (b) a Trip that is later cancelled or voided; (c) a duplicate processing event; or (d) a Platform fault, OZ Ride may claw back the overpayment from the Driver's Wallet, future Driver Earnings, or (with Notice) from the Driver's nominated payment method.

14.2 Notice. OZ Ride must give Notice of any clawback above $20, identifying the Trip(s) or invoice(s) concerned, the reason, and the amount.

14.3 Disputes. A Driver may dispute a clawback under clause 12.

15. Fraud and abuse

15.1 Suspicious activity. OZ Ride and OOHAi Media may investigate any suspicious payment activity, including unusual chargebacks, fake Trips, fake impressions, fake conversions, fake referrals, and multi-account abuse. Pending investigation, payouts may be paused.

15.2 Forfeiture. Driver Earnings, Wallet balances, and Advertiser Wallet credits arising from fraudulent or abusive activity may be forfeited.

15.3 Reporting. Where OZ Ride or OOHAi Media reasonably believes fraud has occurred, it may report the matter to law enforcement, the WA Department of Transport, the ATO, AUSTRAC, or other authorities as appropriate.

16. Currency

All amounts in these Payment Terms are in Australian Dollars (AUD) unless expressly stated otherwise.

17. Variations

OZ Ride and OOHAi Media may vary these Payment Terms from time to time. A material variation will be notified in accordance with the Notice provisions of the Driver Service Agreement, Rider Terms of Service, or Advertiser Terms of Service, as applicable, at least 14 days before the change takes effect.

18. Survival

Clauses 6.6 (Set-off), 8 (Refunds), 10 (Damage and cleaning), 11 (PTSS Subsidies — for Subsidies received after termination), 12 (Disputes), 13 (GST — to the extent of accrued obligations), 14 (Clawback), and 15 (Fraud) survive termination of any agreement to which these Payment Terms apply.

19. Governing law

These Payment Terms are governed by the law of Western Australia.
