01 — Driver Service Agreement

Effective Date: 1 May 2026 Parties: OZ Ride Pty Ltd (ACN/ABN 52 694 735 487) ("we", "us", "our", "OZ Ride") and the individual driver who has accepted these terms ("you", "your", "Driver"). Governing law: Western Australia. Defined terms: Capitalised terms not defined in this document have the meaning given in 00 — Definitions. All references to documents in this framework are to the version in force on the relevant date.

This is the agreement between you and OZ Ride for your use of the Platform to provide Driver Services. Please read it carefully. By tapping "Accept" in the Driver App, you confirm that you have read this document, the Privacy Policy, the Payment Terms, the Acceptable Use Policy, and the Safety and Insurance Disclosure, and that you agree to be bound by them.


1. Nature of relationship

1.1 Independent contractor. You are an independent contractor of OZ Ride. Nothing in this agreement creates an employment relationship, partnership, agency, joint venture, or franchise between you and OZ Ride. You have full discretion as to whether, when, and where to make yourself available to provide Driver Services, subject only to your obligations under this agreement and applicable law.

1.2 No exclusivity. You may provide transport services on other platforms or to other persons concurrently with your use of the Platform, subject to your compliance with applicable law (including the Transport (Road Passenger Services) Act 2018 (WA)) and any restrictions arising from your authorisations.

1.3 No expectation of work. OZ Ride does not guarantee any minimum number of Trips, any minimum earnings, or any continuity of dispatch. The Platform is an open marketplace and Trip volume varies with demand, time of day, day of week, your location, your acceptance rate, your rating, and other factors.

1.4 Your business. You are responsible for the conduct of your own business as an independent contractor, including: registering for an Australian Business Number (ABN) where required; registering for GST where your annual turnover exceeds the GST threshold (currently AUD 75,000); maintaining your own books of account; lodging your own income-tax returns; making your own superannuation contributions; obtaining and maintaining your own insurances (subject to the minimum standards in clause 6); and complying with all laws applicable to a self-employed person.

2. Eligibility

2.1 To be admitted as a Driver and to remain a Driver, you must at all times:

(a) be at least 21 years of age; (b) hold an unrestricted current Australian driver's licence valid in Western Australia; (c) hold a current Passenger Transport Driver authorisation (PTD) issued by the WA Department of Transport; (d) for taxi work, be the nominated driver of a Vehicle that holds a current Passenger Transport Vehicle authorisation (PTV); (e) for taxi work, be a member in good standing of the On-Demand Booking Service (ODBS) operated by OZ Ride and any other authorisations required for your category of taxi work; (f) have the legal right to work in Australia; (g) hold a current National Police Certificate where required by your category of work or by OZ Ride for any role involving the Player Tablet, ad inventory management, or supervision of other Drivers; (h) maintain a satisfactory Compliance Status as computed by the Platform; (i) have completed identity verification through RapidID and the Document Verification Service (DVS) and have given a current and unrevoked DVS Consent in respect of that verification; (j) have completed the OZ Ride driver education modules and any in-person inductions required from time to time; and (k) operate a Vehicle that meets the standards set out in clause 5.

2.2 Continuous verification. You acknowledge that the Platform continuously verifies the currency of your PTD, your Vehicle's PTV, your insurance, your ODBS membership (where applicable), and other Compliance Status inputs. You authorise OZ Ride to query the WA Department of Transport's DoT API and DVID feed for this purpose, on your behalf, for so long as you hold an active Driver account.

2.3 Notification of change. You must notify OZ Ride within 24 hours if any of the following occurs: your PTD is suspended, cancelled, or has conditions varied; your driver's licence is suspended, cancelled, or demerit points reach a total that affects your authority to drive; you are charged with or convicted of any offence that may bear on your fitness to provide passenger transport; your Vehicle's PTV is suspended, cancelled, or its conditions are varied; your insurance lapses or is materially reduced; your ABN is cancelled; or any matter requiring disclosure to the WA Department of Transport arises.

3. Approval and onboarding

3.1 Application. You apply to become a Driver by completing the in-app onboarding flow in the Driver App, including the submission of identity documents, photographs, vehicle documents, insurance certificates, and consents required by the Platform.

3.2 Approval at OZ Ride's discretion. OZ Ride may approve, decline, or defer your application at its discretion having regard to its Compliance Status policy, regulatory requirements, and operational considerations. A decline or deferral is not a finding against your character; it is a commercial decision.

3.3 Document storage. All documents you submit are stored in encrypted form in OZ Ride's S3 bucket and accessed by authorised OZ Ride personnel only for compliance, support, and audit purposes. Documents are watermarked when previewed in the admin console. The Privacy Policy describes the retention period and your access rights.

3.4 Identity verification consent. Identity verification through DVS requires your express consent. Your consent is recorded in the DVS Consent Log and may be withdrawn at any time on Notice to privacy@oz-ride.com. Withdrawal of DVS Consent will result in your Compliance Status becoming non-compliant and your account being placed in suspension until re-verification can be completed.

4. Use of the Driver App

4.1 Licence. OZ Ride grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Driver App on devices you control, solely for the purpose of providing Driver Services in accordance with this agreement. You must keep the Driver App up to date with the latest version released by OZ Ride.

4.2 No reverse engineering. You must not modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Driver App or any part of the Platform, except to the extent permitted by mandatory provisions of law that cannot be excluded.

4.3 Account security. You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with any other person, allow another person to access the Platform under your credentials, or accept Trips for another driver. Each Driver must operate under their own approved account.

4.4 BLE pairing. Where your Vehicle is equipped with a Player Tablet, you must pair the Driver App with the Player Tablet via the BLE Pairing Protocol at the start of each shift. Pairing is required for impression attribution and certain safety telemetry.

5. Vehicle requirements

5.1 Vehicle standards. Your Vehicle must at all times be:

(a) registered in Western Australia, with current registration ("rego"); (b) covered by current Compulsory Third Party Insurance (CTP) attached to the rego; (c) covered by current commercial passenger transport vehicle insurance, including comprehensive cover, public liability of not less than AUD 20 million, and any rider insurance required by the WA Department of Transport for your category of operation; (d) in roadworthy condition, with all warning lights addressed, all safety equipment functional, and tyres conforming to legal tread requirements; (e) clean, free of personal effects that interfere with passenger comfort, and free of strong odours; (f) compliant with any Vehicle category requirements (such as taxi colour, signage, meter, taxi camera, child restraint anchorage, wheelchair-access modifications) that apply to the Vehicle's authorisation; and (g) holder of a current PTV.

5.2 Vehicle inspection. OZ Ride may require a vehicle inspection (in person or by submitted photographs and documents) at any time. Failure to satisfactorily complete a requested inspection within seven days will result in suspension until the inspection is complete.

5.3 Vehicle change. You must notify OZ Ride and update your Vehicle on file in the Driver App before operating any Vehicle other than the Vehicle most recently approved against your account. A change of Vehicle requires fresh document submission and re-approval.

6. Insurance

6.1 Minimum cover. You must hold the insurance described in clause 5.1(b)–(c) at all times during the period in which you make yourself available to provide Driver Services through the Platform. This is the minimum; you may, at your discretion, hold additional cover.

6.2 Evidence. You must provide a copy of your current certificate of currency for your CTP and your commercial passenger transport vehicle insurance during onboarding and on each renewal. The Platform records the expiry date and notifies you in advance under the warning ladder set out in clause 14 of the Compliance Status Policy.

6.3 OZ Ride is not your insurer. OZ Ride does not provide passenger, vehicle, public liability, personal accident, or income-protection insurance for Drivers and is not your insurer. Any reference in OZ Ride's marketing materials to safety, support, or risk-management features is a description of Platform capabilities and not a commitment to indemnify or insure you.

6.4 Prompt notification of incidents. You must notify OZ Ride within 24 hours of any motor vehicle accident, passenger injury, vehicle damage, theft, criminal incident, or other event in connection with a Trip that may give rise to an insurance claim.

7. Conduct of Trips

7.1 Acceptance. You may accept or decline any Trip request, subject to the Acceptable Use Policy and any specific dispatch rules in the Driver App. Patterns of unreasonable refusal (for example, refusing Trips on the basis of a Rider's protected attributes, or chronic acceptance of high-fare and rejection of short-fare Trips) may result in dispatch downgrade or suspension.

7.2 Going online. You may go online only when (a) your Compliance Status is compliant; (b) you are fit to drive (rested, sober, free of intoxicants, not affected by prescription medication that affects driving); and (c) the Vehicle is fit for service.

7.3 Mid-Trip events. If during a Trip your Compliance Status changes to non-compliant (for example, your PTD or PTV is revoked while a Trip is in progress), you must complete the current Trip safely and may not accept any further Trips until your Compliance Status is restored. The Platform will block further dispatch automatically.

7.4 Route, fare, and meter. For rideshare Trips, you must follow a reasonable route to the destination, having regard to traffic, road closures, and Rider preference. For taxi Trips, you must operate the meter in accordance with the WA Department of Transport's regulated taxi fare schedule and applicable rules. You may not negotiate a flat fare or otherwise bypass the meter.

7.5 Rider safety and respect. You must treat each Rider with courtesy and respect, drive safely and lawfully, comply with applicable seat-belt and child-restraint laws, and not refuse service on the basis of a Rider's race, gender, gender identity, sexuality, religion, disability, age, or other protected attribute. Refusal of a Rider with an assistance animal is unlawful and is a serious breach of this agreement.

7.6 No dual booking. You may not accept simultaneous Trips on multiple platforms (so-called "double dipping") or otherwise subject a Rider to a delay caused by your servicing of another platform's Trip.

7.7 Cash handling. For Trips paid in cash, you collect the Fare on behalf of OZ Ride. The cash component of OZ Ride's share (Platform Fee, Booking Fee, and Service Fee where applicable) is reconciled to your Wallet at the end of the Trip and offset against your future Driver Earnings or, where your Wallet would go negative, retried from your nominated payment method through the cash-fee retry process. You must not retain the cash component of OZ Ride's share without authorisation.

8. Compensation, fees, and payments

8.1 Driver Earnings. For each completed Trip you are entitled to receive the Driver Earnings, calculated as the Fare less the Platform Fee, the Service Fee where applicable, the Booking Fee (which is retained by OZ Ride), and any taxes properly remitted to the relevant authority.

8.2 Platform Fee. As at the Effective Date, the Platform Fee is fourteen per cent (14%) of the Fare exclusive of the Booking Fee. The Platform Fee is reviewed from time to time and any change is notified in accordance with clause 6 of the Payment Terms.

8.3 Snapshot at quote. The Platform Fee applicable to a Trip is the rate in effect at the time the Trip is quoted to the Rider (rideshare) or accepted by you (taxi). If the Platform Fee is varied between quote and Trip completion, the original rate applies to that Trip. The system records the quoted-rate snapshot on the Trip row.

8.4 Payouts. Driver Earnings are credited to your Stripe Express account in accordance with the Payout Schedule. The current Payout Schedule is weekly, with a Sunday cut-off and disbursement on the following Tuesday. Stripe's processing time may add 1–2 Business Days to settlement in your bank account.

8.5 Disputes about earnings. Any dispute about the calculation of your Driver Earnings must be raised within 30 days of the Trip in question, by Notice to support@oz-ride.com. OZ Ride will investigate and respond within 14 Business Days. The detailed dispute procedure is in clause 12 of the Payment Terms.

8.6 PTSS Subsidies. Where a Trip is the subject of a PTSS Subsidy that is later received by OZ Ride from the WA Department of Transport, OZ Ride credits the full subsidy amount to your Wallet without commission deduction (0% pass-through). The detailed PTSS reconciliation procedure is in clause 11 of the Payment Terms.

8.7 Tax. You are responsible for all taxes payable in respect of your Driver Earnings, including income tax, GST (if registered), and any other taxes that apply to your business. OZ Ride does not deduct PAYG withholding tax from your Driver Earnings, except where required by law (for example, where you have not provided a valid ABN under the no-ABN withholding rules).

8.8 Set-off. OZ Ride may set off any amount you owe OZ Ride (including unrecovered Cancellation Fees, No-Show Fees you have agreed to refund, refundable amounts due to a Rider that OZ Ride has paid on your behalf, or amounts arising under clause 14) against any Driver Earnings otherwise payable to you. Any set-off is itemised in your Wallet statement.

9. Ratings, deactivation thresholds, and quality

9.1 Rider ratings. Riders may rate you after each Trip on a five-point scale. Your rolling rating is visible to you in the Driver App. Sustained low ratings (a 30-day rolling average below 4.0 over a minimum sample of 25 Trips) trigger a quality review and may result in a temporary deactivation pending coaching, retraining, or further investigation.

9.2 Cancellation rate. Your acceptance and completion behaviour is monitored. A cancellation rate above 15% over a 30-day rolling window may result in dispatch downgrade. Repeated patterns of acceptance followed by cancellation after a Rider has been waiting may result in suspension.

9.3 Complaints. A small number of complaints is normal in passenger transport and OZ Ride will not act on a single unverified complaint. A complaint that constitutes a serious matter (assault, harassment, intoxication, dangerous driving, fraud, theft, racism or other prohibited discrimination) will result in immediate suspension pending investigation under clause 14.

10. Use of the Player Tablet

10.1 Where your Vehicle is equipped with a Player Tablet, you must keep the Tablet powered, mounted in the position specified in the Player installation guide, and not interfere with its operation.

10.2 Tampering with the Tablet, the BLE pairing system, or the impression-counting system is a serious breach of this agreement and may result in immediate suspension and forfeiture of accrued ad-revenue earnings for the period of tampering.

10.3 The Tablet is the property of OOHAi Media. You hold it on bailment and must take reasonable care of it. Theft, accidental damage, or loss must be reported to OOHAi Media within 24 hours.

10.4 OOHAi Media manages the Tablet remotely under its enterprise mobile-device-management (MDM) policy, and may install, remove, lock, or wipe applications and content. You consent to such management for so long as the Tablet is paired with your Vehicle.

11. Driver Wallet

11.1 OZ Ride maintains a Driver Wallet for each Driver to track ad-revenue earnings, Cancellation Fees collected on your behalf, PTSS Subsidies, set-offs, refunds, and other movements. Each movement is recorded in the immutable double-entry ledger.

11.2 Wallet balance does not bear interest.

11.3 Withdrawals from the Wallet to your Stripe Express account follow the Payout Schedule. Manual withdrawals may be available subject to Stripe processing limits and OZ Ride's anti-fraud controls.

11.4 A negative Wallet balance arising from cash-fee reconciliation, a Cancellation Fee that the Rider's payment method declined, or a refund issued to a Rider for a service issue is recoverable from your future Driver Earnings or, on Notice, from your nominated payment method. OZ Ride may suspend your account if your Wallet balance remains negative for more than 14 days without a payment plan in place.

12. Confidentiality, privacy, and recordings

12.1 Rider information. All information about Riders that you receive through the Platform (name, phone number, pickup address, drop-off address, payment status, ratings, comments) is Confidential Information and may be used solely for the purpose of providing the Trip in question and any post-Trip support that the Rider initiates. You must not retain Rider information after a Trip is complete other than for tax, audit, or legal purposes.

12.2 Privacy. Your collection and handling of Rider Personal Information is governed by the Privacy Policy. You must comply with the Privacy Policy and applicable Australian privacy law in respect of any Rider information that you handle.

12.3 Recordings. If you operate any in-Vehicle audio or video recording device (including any taxi camera required by regulation), you must comply with applicable surveillance-devices legislation, post the required notices in the Vehicle, and handle and retain recordings in accordance with that legislation. Recordings must not be uploaded to any non-OZ Ride platform without legal basis.

13. Intellectual property

13.1 Platform IP. All Intellectual Property in the Platform, including the Driver App, the Rider App, the Phone Operator AI Agent, the Fare Engine, the Compliance Status system, the BLE Pairing Protocol, and all source code, designs, models, and content, is owned by OOHA Pty Ltd and licensed to OZ Ride. Nothing in this agreement transfers any Intellectual Property in the Platform to you.

13.2 Driver IP. You retain ownership of any Vehicle, equipment, photographs of you and your Vehicle that you upload, and content you provide through the Platform. You grant OZ Ride a non-exclusive, royalty-free, worldwide licence to use such content for the purpose of operating the Platform, completing Trips, conducting compliance checks, and (in the case of your name and photograph) displaying them to Riders during dispatch and Trip.

13.3 Marketing use. OZ Ride may use anonymised and aggregated data about Trips for marketing, public-affairs, regulatory engagement, and product-improvement purposes. Where OZ Ride wishes to use a quotation, photograph, or testimonial that personally identifies you, it will obtain your express written consent first.

14. Suspension and termination

14.1 By you. You may stop using the Driver App at any time. To deactivate your Driver account, send Notice to support@oz-ride.com. Outstanding Driver Earnings are paid out at the next regular payout date.

14.2 By OZ Ride for cause. OZ Ride may suspend your account immediately, and terminate this agreement on 14 days' Notice, for any of the following:

(a) loss of any authorisation listed in clause 2 (PTD, PTV, ODBS, NPC, valid driver's licence, right to work); (b) failure to maintain insurance as required by clause 6; (c) breach of the Acceptable Use Policy or the Safety and Insurance Disclosure; (d) charge or conviction in respect of an offence that materially bears on your fitness to provide passenger transport; (e) sustained low ratings or quality issues as described in clause 9; (f) fraud, theft, falsification of documents, or any conduct that compromises Trip integrity, payment integrity, or the Compliance Status of yourself or another Driver; (g) tampering with the Player Tablet, BLE pairing, meter, or any safety-critical component; (h) any direction from the WA Department of Transport, WA Police, or other regulator requiring your removal from the Platform; (i) abuse of Riders, OZ Ride personnel, or other Drivers; or (j) any other material breach of this agreement that you do not remedy within 14 days of Notice (where the breach is capable of remedy).

14.3 Immediate termination. OZ Ride may terminate this agreement without Notice if your conduct presents an immediate risk to Rider safety or to the operation of the Platform.

14.4 Effect of termination. On termination of this agreement: (a) you must cease all use of the Driver App and the Platform; (b) any Trip in progress must be safely completed; (c) accrued Driver Earnings are paid to your Stripe Express account at the next regular payout date; (d) any negative Wallet balance becomes immediately due and payable; (e) the Player Tablet (if any) must be made available for collection or returned per OOHAi Media's instructions within 14 days; and (f) the surviving clauses set out in clause 18 continue in force.

14.5 Restoration. A suspended Driver may apply for restoration on Notice to support@oz-ride.com. Restoration is at OZ Ride's discretion and may be conditional on completion of further training, fresh document submission, or any other reasonable requirement.

14.6 Compliance lift. Where your suspension is automated by the Compliance Status system (for example, an expired insurance certificate), restoration is automatic on the system observing that the issue is resolved. Where your suspension is for cause under clause 14.2, restoration requires explicit administrator action and the result is recorded in the Audit Log.

15. Liability

15.1 Australian Consumer Law. Nothing in this agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy available to you under the Australian Consumer Law or any other law that cannot be lawfully excluded, restricted, or modified.

15.2 Marketplace facilitator. OZ Ride provides the Platform as a marketplace facilitator. OZ Ride does not itself provide transport services to Riders. You provide transport services as an independent contractor. OZ Ride's liability to you under this agreement is limited to OZ Ride's role as Platform operator and does not extend to claims that, in substance, arise from your provision of transport services.

15.3 Liability cap. To the maximum extent permitted by law and subject to clause 15.1, OZ Ride's total aggregate liability to you arising out of or in connection with this agreement, the Platform, or any Trip, in any twelve-month period, is capped at the greater of (a) AUD 5,000 and (b) the total Driver Earnings paid by OZ Ride to you in the twelve months preceding the event giving rise to the claim.

15.4 Excluded losses. To the maximum extent permitted by law and subject to clause 15.1, OZ Ride excludes liability for indirect, special, consequential, exemplary, or punitive damages, loss of profit, loss of business opportunity, loss of goodwill, and loss arising from third-party services on which the Platform depends, including Stripe, Twilio, Amazon Web Services, Mapbox, the WA Department of Transport DoT API, RapidID, and Anthropic.

15.5 Force Majeure. Neither party is liable for any failure to perform any obligation under this agreement to the extent caused by a Force Majeure Event.

16. Indemnity

16.1 You indemnify OZ Ride against all loss, liability, and expense (including reasonable legal costs) suffered or incurred by OZ Ride arising out of or in connection with: (a) your provision of Driver Services, including any motor vehicle accident, passenger injury, vehicle damage, regulatory infringement, or third-party claim; (b) your breach of this agreement, the Acceptable Use Policy, the Safety and Insurance Disclosure, or applicable law; (c) any tax liability arising in respect of your Driver Earnings that is properly your responsibility; or (d) any unauthorised use of your Driver account where the unauthorised use was due to your failure to keep your account credentials confidential.

16.2 This clause does not require you to indemnify OZ Ride against loss to the extent caused by OZ Ride's negligence, fraud, or wilful misconduct.

17. Disputes

17.1 Informal resolution. A party with a dispute must first send a written Notice describing the dispute to the other party. The parties must use reasonable endeavours to resolve the dispute informally within 28 days of the Notice.

17.2 Mediation. If the dispute is not resolved within 28 days, either party may refer it to mediation administered by the Resolution Institute under its Mediation Rules. The mediator is to be a person mutually agreed by the parties, or failing agreement, a person nominated by the President of the Resolution Institute. The mediation is to be held in Perth, Western Australia, in English.

17.3 Court. A party may not commence court proceedings in respect of a dispute until the mediation under clause 17.2 has concluded, except for proceedings to seek urgent interlocutory relief. Court proceedings must be commenced in the courts of Western Australia.

17.4 Consumer protection. Nothing in this clause prevents you from making a complaint to the Department of Mines, Industry Regulation and Safety (Consumer Protection), or pursuing a claim in any tribunal that has jurisdiction in the matter.

18. Survival

The following clauses survive termination of this agreement: clause 11.4 (Wallet recovery), clause 12 (Confidentiality, privacy, recordings), clause 13 (Intellectual property), clause 14.4 (Effect of termination), clause 15 (Liability), clause 16 (Indemnity), clause 17 (Disputes), and clause 19 (Notices).

19. Notices

19.1 A Notice under this agreement must be in writing and delivered to:

  • For OZ Ride: legal@oz-ride.com, with a copy to support@oz-ride.com for operational matters.
  • For you: the email address on your Driver account, and (where critical) the mobile number on file via SMS.

19.2 A Notice delivered by email is deemed received at the start of the next Business Day in Perth, Western Australia, unless an automated bounce or non-delivery message is received within 24 hours, in which case the Notice is not deemed delivered.

20. General

20.1 Variation. OZ Ride may vary this agreement from time to time. A material variation will be notified to you at least 14 days before the change takes effect, by in-app message and email. By continuing to use the Driver App after the change takes effect, you accept the variation. If you do not accept the variation, you may terminate this agreement under clause 14.1.

20.2 Assignment. You may not assign or sub-licence any of your rights or obligations under this agreement. OZ Ride may assign this agreement to a successor entity (including in connection with a corporate restructure or sale of the business) on Notice to you.

20.3 Entire agreement. This agreement, together with the documents in this framework expressly referenced in it, constitutes the entire agreement between you and OZ Ride in relation to its subject matter and supersedes all prior representations and agreements.

20.4 Severability. If any clause of this agreement is held to be invalid or unenforceable, that clause is severed to the minimum extent necessary, and the remaining clauses continue in full force.

20.5 Waiver. A waiver of any right under this agreement is effective only in the specific instance and for the specific purpose for which it is given.

20.6 Counterparts. This agreement may be entered into electronically by your acceptance in the Driver App. Your acceptance is recorded in the Audit Log.

20.7 Governing law. This agreement is governed by the law of Western Australia.
