Screen-Owner Terms

20 — Screen-Owner Terms

Effective Date: 14 September 2026 Parties: OOHAi Media Pty Ltd as trustee for the OOHAi Media Unit Trust (ABN 49 863 511 902) ("OOHAi Media", "we", "us", "our") and the person or business that accepts these terms ("you", "your", the "Screen Owner"). Governing law: Western Australia. Defined terms: Capitalised terms not defined in this document have the meaning given in 00 — Definitions.

These are the terms on which you put a screen you own or control on the OOHAi advertising network, using the OOHAi Companion app or the OOHAi advertiser portal. They are the "OOHAi Operator Agreement" referred to in the OOHAi Media RCTI Agreement, which you can read and accept in the app.

These terms apply to you from the day they are published at this address and you continue to use the OOHAi Companion app or keep a screen claimed. We will also ask you to accept them in the app when that screen is built.

These terms work together with the Screen-Owner Privacy Notice, the Privacy Policy, the Computer Vision Privacy Disclosure, the Advertising Content Policy and the Acceptable Use Policy. Please read them; they apply to you as well.

1. Who this is for

1.1 Screen Owners. A Screen Owner is a person or business that owns or controls a screen running the OOHAi player software — a car topper, an in-car screen, a kiosk, or a TV display — and claims that screen in an operator workspace.

1.2 Your workspace. When you create an account we set up an operator workspace for you. Everything about your screens, your content, your earnings and your team lives in that workspace. You are the owner of the workspace. You may invite other people to it with the role of Admin, Manager, Analyst or Viewer.

1.3 Your team acts for you. Whatever a member of your workspace does with their own login counts as done by you. The only exception is an action that was not authorised and that we should reasonably have noticed and stopped. Keep your login details private. Each person you invite is asked to accept the platform terms and the Privacy Policy themselves the first time they use the workspace.

1.4 Independent business. You are an independent business. Nothing in these terms makes you or your team our employee, partner, agent or franchisee.

1.5 OZ Ride drivers. If you are an OZ Ride driver and OOHAi Media has supplied a Player Tablet for your vehicle, that tablet is covered by clause 10 of the Driver Service Agreement, not by these terms. These terms cover screens you own and claim yourself.

2. Claiming a screen

2.1 How a claim works. A new screen shows a QR code and a six-digit code on its display until it has an owner. You claim it by scanning or typing that code in the app, choosing what kind of screen it is, and ticking the consent box.

2.2 Only claim what is yours. You must only claim a screen that you own or are authorised to control. If a screen you bought has been claimed by someone else, contact us at advertisers@oohai.com.au with your purchase email, invoice or order reference, the screen's serial number, and the code from its card if it has one. Where the evidence shows you are the owner, we move the screen to you. A contested case is reviewed by a person, and proof of purchase decides.

2.3 Where the screen is. You must tell us where each screen is, by choosing its address in the app. We use that location to decide which advertisements suit the screen. A fixed screen (a kiosk or a TV display) must have a location before it can be set up as that kind of screen.

2.4 Your screen appears in your fleet. Once claimed, the screen belongs to your workspace. You can see its health, its content and its earnings in the app.

3. Looking after the screen

3.1 Installation is yours. You are responsible for where and how the screen is installed at your venue or on your vehicle, and for complying with any law that applies to displaying advertising there.

3.2 On, online, and playing. The screen only receives content, only measures its audience, and only earns while it is switched on, connected to the internet and playing. We do not pay for time the screen is off or offline.

3.3 Do not tamper. You must not interfere with the player software, its settings, its camera or sensors, or the way it counts what it plays. From the app you can ask the screen to identify itself, re-sync its content, or restart its player; those are the only device commands available to you. Tampering with a screen, or faking what it plays or who saw it, is a serious breach of these terms. It may result in immediate suspension and the loss of earnings for the period of the tampering.

3.4 We update the software. We update the player software on your screen remotely. You cannot switch that off from the app.

4. What plays on your screen

4.1 Network ads are your choice. Network ads play on your screen only after you switch them on for that screen. A newly claimed screen starts with network ads off. Once they are on, we choose which advertisements play and when. You cannot pick individual advertisements. Every network advertisement must pass the Advertising Content Policy before it can run.

4.2 What you can control. For each screen you can:

(a) turn network ads on or off. With network ads off, the screen plays only your own content;

(b) block categories of advertising and block particular brands. Blocked advertisements never play on that screen. Blocking reduces the number of advertisements that can fill the screen, which can lower what it earns;

(c) upload your own content — images and videos — and schedule when it plays. Your own content never earns and never costs you anything. It shares the library and the size and length limits shown in the app;

(d) turn audience sensing and proximity sensing on or off, where the screen's hardware supports them. What these sensors do, and do not do, is described in the Computer Vision Privacy Disclosure and the Screen-Owner Privacy Notice. In-vehicle screens never run proximity sensing.

4.3 Your own content. Content you upload must be yours to use, must comply with the Advertising Content Policy and the Acceptable Use Policy, and must not infringe anyone's rights. You keep ownership of it. You give us a non-exclusive, royalty-free licence to store, convert and display it on your screens for as long as it is in your library. We may remove content that breaches these rules.

4.4 No safety features on self-serve in-car screens. The passenger safety features of an OZ Ride Player Tablet — such as its emergency button — exist only on tablets OZ Ride operates in its own trips. A self-serve in-car screen does not have them.

5. Earnings

5.1 What earns. You earn a share of what an advertiser pays for a network advertisement that actually plays on your screen and is counted. Your own content earns nothing. A screen with network ads off — which is how every screen starts — earns nothing.

5.2 The revenue we share. The amount we share is the advertiser's payment for that play, worked out as follows:

(a) we start from what the advertiser paid for the play, excluding GST;

(b) we deduct the real card or transaction fee we were charged for the actual payment that funded that play. We deduct only a fee we have actually been charged and can attribute to that payment — never an estimate. Where we cannot attribute a fee to a specific play, no fee is deducted;

(c) we deduct any agency commission we actually paid on that advertiser's spend; and

(d) if the advertiser's payment is later refunded, charged back or disputed, the earning is reversed (clause 5.8).

We do not deduct our own running costs — hosting, processing, support — from your share. Those come out of our share.

5.3 Your share. Your share of that amount is 70%. We keep 30%. The percentage in force at the moment each play is counted is recorded against that play, and the app shows you the percentage that applies to you. If we change the percentage, the change applies only to plays counted after it takes effect and never changes what you have already earned. A change to the percentage is a material change and is notified under clause 10.1.

5.4 Estimates and totals. The per-play and per-screen figures in the app are estimates. Your payout is worked out on the total of all your counted plays for the period, rounded once, and that total is the amount we pay.

5.5 GST. Earnings are shown excluding GST. If you are registered for GST and have told us so in the app, GST at the applicable rate is added on top of your payout. If you have also accepted the OOHAi Media RCTI Agreement, and both you and we are registered for GST, we issue you a Recipient Created Tax Invoice for each payout. Otherwise you issue your own tax invoice. The RCTI Agreement prevails over these terms on anything to do with RCTIs and the GST treatment of earnings.

5.6 Setting up payouts. We pay you through a Stripe payout account that you set up from the app. Stripe collects your bank details; we never see them. You cannot be paid until that setup is complete.

5.7 When we pay. We pay earnings in batches that we run from time to time. Each batch covers a period that we set; the period is shown on any RCTI we issue for it. Each batch is reviewed and approved by us before it is sent. We only send a batch when your unpaid balance is at least the payout minimum, which is AUD 50 unless we have told you a different figure. A balance below the minimum carries forward to the next batch. We may hold payouts while a fraud investigation is open, or while our automated reconciliation checks have found a problem with our books; a hold delays a payout but does not cancel what you have earned.

5.8 Reversals. If an advertiser's payment behind a play is refunded, charged back or disputed, we reverse the earning for that play. A reversal is made by our team, not automatically. It shows in your balance. If you have already been paid for it, we offset it against your future earnings, and if we issued you an RCTI for that payout we issue a credit note against it. Your balance can be negative until future earnings cover the reversal.

5.9 Fraud. Earnings from fake plays, tampering or other fraudulent activity may be forfeited, and we may report the matter to the police or a regulator.

5.10 No fee to you today. We do not currently charge you any subscription or platform fee to use the app or to keep a screen on the network. If we introduce one, it will be set out in the app and will not start until you have agreed to it and added a payment method.

6. Your account, suspension and ending

6.1 Withdrawing your consent. You can withdraw your consent to these terms or the Privacy Policy at any time by emailing privacy@oohai.com.au. If you do, your workspace is suspended for review: no new campaigns, claims or uploads until the withdrawal is reversed by accepting the terms again. Your data stays available to you on request (clause 7 of the Screen-Owner Privacy Notice).

6.2 Suspension by us. We may suspend your workspace, or stop content on a screen, immediately where we consider on reasonable grounds that: (a) you have breached the Advertising Content Policy or the Acceptable Use Policy; (b) you have tampered with a screen or faked plays; (c) a regulator has directed us; or (d) continuing would expose us, the public or a third party to harm. We may end these terms on 14 days' notice for any of those reasons, or for any other material breach not fixed within 14 days of our notice. A suspended screen stops receiving content.

6.3 Removing a screen yourself. You can reset or remove a screen from the app at any time, except while it is in the middle of a trip. Removing a screen returns it to the unclaimed state: it leaves your workspace, its credentials are revoked, and anyone with the screen can then set it up as their own.

6.4 Closing your account. You may close your workspace at any time by notice to advertisers@oohai.com.au, or by using Delete account in the app, which today raises a request that our support team processes for you. Any unpaid earnings that meet the conditions in clause 5 are paid in the next payout batch.

6.5 After the end. Some parts of these terms keep working after the relationship ends: our licence to keep any content of yours that is still stored (clause 4.3); our right to reverse an earning and to forfeit fraudulent earnings (clauses 5.8 and 5.9); the rules about audience data (clause 7); the limits on our liability and your promise to cover losses you cause (clause 8); how disputes are handled (clause 9); and how notices are sent (clause 10.3).

7. Privacy and audience data

7.1 Your information. How we handle information about you, your team and your screens is set out in the Screen-Owner Privacy Notice and the Privacy Policy.

7.2 People near your screen. If audience sensing is on, the screen measures its audience on the device — a headcount and coarse age and gender bands, never an image, never a name, never emotion. What leaves the screen, and what does not, is described in the Computer Vision Privacy Disclosure.

7.3 Audience data is ours. The audience data your screens produce belongs to OOHAi Media. We show you insights about your own screens in aggregate only; areas or periods with too few screens or too few plays are hidden. You must not try to identify any individual from audience data, or combine it with other data to do so.

8. Liability and indemnity

8.1 Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

8.2 Our liability cap. To the maximum extent permitted by law and subject to clause 8.1, our total liability to you under or in connection with these terms in any 12-month period is capped at the greater of (a) AUD 25,000 and (b) the total amounts you have paid to us in the 12 months before the event giving rise to the claim. This is the same cap our Advertiser Terms of Service give every business that deals with us.

8.3 Excluded losses. To the maximum extent permitted by law and subject to clause 8.1, we are not liable for indirect, special, consequential, exemplary or punitive loss, loss of profit, loss of business opportunity, loss of reputation, or loss arising from third-party services the network depends on, including Stripe, Amazon Web Services, Cloudflare and Google.

8.4 No guarantee of earnings. We do not promise that advertisements will fill your screen, that any particular number of advertisements will play, that your screen will earn any particular amount, or that the network will be available without interruption.

8.5 Your indemnity. You indemnify us — that is, you agree to cover our loss, liability and costs, including reasonable legal costs — where they arise from: (a) content you upload; (b) your breach of these terms, the Advertising Content Policy or the Acceptable Use Policy; (c) your misuse of audience data; or (d) unauthorised use of your workspace caused by your failure to keep your login details secure.

8.6 Force majeure. Neither party is liable for a failure to perform caused by a Force Majeure Event.

9. Disputes and complaints

9.1 Earnings and payout disputes. Raise any dispute about an earning, a reversal or a payout within 30 days of the payout or the reversal, by email to advertisers@oohai.com.au, quoting the screen and the period concerned. We acknowledge within 5 Business Days and respond substantively within 14 Business Days.

9.2 Other complaints. Any other complaint follows the Complaints Handling Procedure. Privacy complaints go to privacy@oohai.com.au and may be taken to the Office of the Australian Information Commissioner.

9.3 Mediation and courts. If a dispute is not resolved within 28 days of notice, either party may refer it to mediation administered by the Resolution Institute in Perth, Western Australia. Court proceedings must be commenced in the courts of Western Australia.

10. Changes, notices and general terms

10.1 Changes to these terms. We may change these terms from time to time. We notify a material change by email to the workspace owner at least 30 days before it takes effect — the same notice our Advertiser Terms of Service give — and we publish every version on this page with its effective date. If you continue to use the workspace after the change takes effect, you accept the change. If you do not accept it, you may remove your screens and close your workspace under clause 6.

10.2 Assignment. You may not assign your rights under these terms without our written consent. We may assign these terms to a successor entity on notice to you.

10.3 Notices. Notices to us go to legal@oohai.com.au. Notices to you go to the email address of the workspace owner. An email notice is treated as received at the start of the next Business Day in Perth, Western Australia, unless a bounce or non-delivery message comes back within 24 hours.

10.4 If documents disagree. On RCTIs and the GST treatment of earnings, the OOHAi Media RCTI Agreement wins over these terms. On anything else, if these terms and another document in this framework say different things, clause 8.6 of the Definitions decides which one applies.

10.5 Entire agreement. These terms, together with the documents they refer to, are the entire agreement between you and us about your screens on the OOHAi network.

10.6 Severability and waiver. If any clause is held invalid or unenforceable, it is severed to the minimum extent necessary and the rest continues. A waiver applies only to the specific instance for which it is given.

10.7 Electronic form. These terms are published and apply electronically. Any acceptance you give in the app is recorded and kept.

10.8 Governing law. These terms are governed by the law of Western Australia.
